Moscow - St. Petersburg toll motorway

Acted for a consortium bidding for the "Moscow - St. Petersburg toll motorway from Km. 15 to 58" (Stage 1) and "A new access to the Moscow Ring Road from the M1 Federal Highway" projects, including: review of the application options, comprehensive advice; elaboration of concepts for liability of non-resident participants in financing the project; structuring and registration of a company applying to participate in the tender.

Tuapse Commercial Sea Port

Advised Tuapse Commercial Sea Port (the main operator of one of Russia’s biggest ports in Krasnodar Region and one of the biggest stevedoring companies in Russia) on a JV structure, land, project finance, spatial planning and construction matters related to re-development of the former seaport passenger terminal.

Far East and Baikal Region Development Fund

Acted for the Far East and Baikal Region Development Fund on a RUB 2 bn secured loan for construction of a new terminal at Khabarovsk International Airport servicing domestic flights and the airport infrastructure.

Sheremetyevo International Airport

Comprehensive legal support on the USD 1 bn reconstruction of Sheremetyevo International Airport: construction of two passenger and one cargo terminals, demolition of an old terminal and construction of a unique tunnel under the runway to connect the passenger terminals. We are also advised on supply of passenger and luggage transport equipment and relocation of the existing utilities and infrastructure, and are provided support for construction of a new fueling facility. Our mandate also included consolidation of the airport’s asset consolidation, project finance and preparation of the airport for privatisation, corporate, finance and tax matters, etc.

Japan Bank for International Cooperation (JBIC)

Advised Japan Bank for International Cooperation (JBIC) in connection with overall regulatory, tax, customs, tariffs, permits and licences, spatial planning, land, environmental, public procedures, etc. matters applicable to PPP projects in Russia, and performed a case study review.

South/ TurkStream

Advised South/ TurkStream on construction of the Russian Sector of the South/TurkStream Offshore Pipeline project from Russia to Turkey: land acquisition, spatial planning, environmental, corporate, financing arrangements, constructions, permitting and regulatory, liaisons with government authorities, authorisations and licenses, etc.

Nord Stream AG, Nord Stream 2 AG

Advised Nord Stream AG, Nord Stream 2 AG on the legal aspects of construction of the Russian component of the submarine gas pipeline. Matters advised on included international law, environmental aspects, re-categorisation of forest and agricultural land, liaisons with government authorities, permission documentation, construction, permits, authorisations and licences.

EDB and IIB

Advised a syndicate of the Eurasian Development Bank (EDB) and International Investment Bank (IIB) on a project finance transaction for construction of two hydro-power plants with a total capacity of 49.8 MW in the Republic of Karelia (Russia). The RUB 8.15 bn facility will be repaid in 12 years. This is also a pilot project in Russia for the New Development Bank set up by the BRICS countries, as the creditors have used its resources for funding.
