Contested in the commercial court a remedy order by the FAS of Russia against Aqua Investment (producer of mineral water Essentuki No.4 and No.17) following clearance of the M&A deal between Aqua Investment and PepsiCo. Proved that the FAS of Russia was wrong in claiming that our client (Aqua Investment) would strengthen its dominant position on the market for mineral water after the merger. As a result the remedy order was held invalid and the deal was cleared without conditions.
Provided legal support to Federal Freight Company in an antitrust case over alleged abuse of dominance through excessive pricing and in challenging the antitrust authority’s decision and order in court.
Provided legal support to United Metallurgical Company in a case over alleged abuse of dominance by setting a monopoly high price for underground train wheels; participated in contesting in court the FAS decision and order on the case.
Antitrust probes and audits
Assisted an electronics and medical devices manufacturer during an antitrust dawn raid at the client’s offices and subsequently handled the case until the antitrust authority issued the dawn raid report.
Assisted a pharmaceutical producer during a combined dawn raid by the Russian FAS and Federal Security Service and subsequently handled the case until the dawn raid report was issued.
Carried out mock antitrust dawn raids at a number of FMCG and pharmaceutical companies.
Audited the activity of FMCG and pharmaceutical companies, manufacturers of electronics, building materials and forensic devices for compliance with the antitrust and anti-corruption laws, corporate policies and procedures.
Antitrust transaction clearance
Advised PSA Group on obtaining FAS Russia clearance for the client’s merger with FCA (Fiat Chrysler Automobiles).
Provided transaction support to a leading transport and logistics holding company during its acquisition of a major railway container transportation company, particularly in obtaining antitrust clearances in Russia and other jurisdictions.
Advised Avon Group, a major cosmetics seller, on a global transaction involving sale of its business to Natura Group, particularly deal clearance by the FAS and the Government Commission for Control over Foreign Investments in the Russian Federation; helped have the deal cleared within the shortest possible time.
Provided advice and obtained, within minimum time, prior antitrust authority clearance for a major bank’s acquisition of card-based instalment payment business from another bank.
Obtained clearance from the FAS and the Government Commission for Control over Foreign Investments for the Russian part of acquisition by a major investment company controlled by the PRC Government of a controlling stake in a leading global provider of telecommunications and cloud solutions.
Advised an international group specialising in mining assets on aspects of strategic investments in Russia in connection with its acquisition of a 25% stake in a nickel mining company.
Advised a Client and obtained prior clearance from the antitrust authority for acquisition of key production assets (a factory) for car manufacturing purposes.
Advised a major Russian investment fund on economic concentration, foreign investments and strategic investments, including clearance for transactions involving companies manufacturing power sector equipment and machinery.
Obtained FAS clearance for a cross-border joint venture agreement between two foreign companies bidding for a contract to construct an LNG terminal.
Obtained clearance under the foreign investments law for persons controlled by foreign governments setting up legal entities in Russia.
