Vitaly Mozharowski has more than 25 years’ experience of rendering legal support to investment, infrastructure and construction projects, transactions involving land and real estate (sale and purchase, lease, mortgage), commercial development of agricultural and forestry lands, land and other realty privatisation, acquisitions of Russian companies by foreign direct investors, project finance and advising on subsoil use, environmental law and other matters.

  • Advised Nord Stream AG and Nord Stream 2 AG on legal aspects of laying the Russian part of the Russia-EU gas pipeline along the bottom of the Baltic Sea: forestry and farm land use limitations, land allocation, change of land category, environmental aspects, water use and protection, government and international matters, public procedures, construction, regulatory, permits and licences, etc.

  • Comprehensive legal advice on construction of the South/TurkStream Offshore Pipeline project from Russia to the Turkey under the Black Sea: land use and acquisition, change of land category, public procedures, environmental aspects, international and corporate law, project finance, construction, permits and authorisations, etc.

  • Sheremetyevo International Airport: comprehensive legal support on the USD 1 bn reconstruction of Sheremetyevo International Airport: construction of two passenger and one cargo terminals, demolition of an old terminal and construction of a unique tunnel under the runway to connect the passenger terminals. We are also advised on supply of passenger and luggage transport equipment and relocation of the existing utilities and infrastructure, and are provided support for construction of a new fuelling facility. Advised the client on Airport asset consolidation, project finance and pre-privatisation processes, corporate, financial and tax aspects.

  • Provided comprehensive support to Kimberly-Clark for a project to build three stages of a production complex in the Moscow Region: acquisition of the land plots and change of their permitted use, permission documents, construction, utility infrastructure, nature protection and ecological aspects, representation in arbitrazh (commercial) courts (land disputes) and more.

  • Comprehensive legal advice to Mars on construction and reconstruction of eight factories and one research centre in different parts of Russia. Complete legal support for projects: choice of land plots and acquisition of rights to land, permission documents for construction, construction contracts, industrial safety, connection to utility networks and construction of linear facilities.

  • Comprehensive legal advice to Teva Pharmaceuticals on construction of a brand new pharmaceutical plant in Yaroslavl: land acquisition, general contractor agreement, civil engineering services, utility infrastructure, spatial planning, permissions and licensing, equipment supply and installation, etc.

  • Advising ADG Group on the lease agreements with tenants of 39 former Moscow movie theatres within the major reconstruction/redevelopment projects. The buildings will be turned into neighbourhood proximity shopping and consumer services centres, complete with necessary infrastructure. Once launched, the network will become Moscow’s biggest project on commercial real estate market in terms of number of sites.

  • Legal support for construction of a car assembly facility for Nissan Motor in St Petersburg: investment agreement with the Russian Government, land acquisition, construction, utilities, customs and tax advice.

  • Advising Komatsu on erection of its assembly plant for construction equipment in the Yaroslavl Region, i.e., land acquisition, conversion to another land category and re-zoning, investment agreement, permits and authorisations, construction issues, utility infrastructure, environmental and ecological aspects, etc.

  • Contributed to legislative work on the Sochi – 2014 Winter Olympics Federal Laws (corporate law, tax and customs benefits, investments, real estate, re-zoning, land reservation, etc.).

  • Comprehensive legal support to major international companies including Coca-Cola, Danone, Guardian Industries, Kronospan, LafargeHolcim, Nissan Motor, Efes Brewery, Magna Automotive, Oriflame, etc. for various greenfield industrial development projects in different regions. Matters advised on included acquisition of land plots, forest and farm land re-zoning, liaisons with authorities, public procedures, regulatory issues and licences, design and construction, environmental, project financing, infrastructure and utilities, etc.

  • Advised Christie’s auction house, Toyota Bank, Procter & Gamble, Motorola, Rolf, Alfa Bank, Saint-Gobain, Kimberly-Clark, Philips, Nike, Volkswagen, etc. on national HQ office leases.

  •  Advised Embassy of Canada in Moscow, New Zealand Embassy on leases of historic buildings in the downtown of Moscow to accommodate the Embassy and the Official Residence.
