Rustam Aliev joined Bryan Cave Leighton Paisner (Russia) LLP in the end of 2013. Before joining Bryan Cave Leighton Paisner (Russia) LLP, Rustam was counsel at Akin Gump Strauss Hauer & Feld.

Rustam has extensive experience in international corporate transactions, joint venturing and M&A, real estate and infrastructure matters in emerging markets of Russia, CIS and throughout Europe.

Some recent projects:

  • Advised sovereign wealth funds on acquisition of shares in a Russian high-tech pharmaceutical company - one of biggest pharmaceutical companies in Russia and CIS - and a following joint venture with existing shareholders (a Russian holding company and one of the major Japanese business groups).
  • Advised a client on a buy-in management buy-out (BIMBO) in a publically traded pharmacy chain - one of Russia’s leading medical and beauty products retailer.
  • Advised on the acquisition by Rossium group (MCB Capital) of a 90.99% stake in ONEXIM's PJSС OPIN and other real estate and agricultural assets of ONEXIM GROUP.
  • Advised on the sale of a group of companies, producers and distributors of natural bottled water in Russia (Noringa and Chistaya Voda trade names), to IDS Borjomi International.
  • Advised the client on corporate sale of a bakery plant in the Moscow Region to Lantmännen Unibake, a major Swedish agricultural holding.
  • Advised a private equity investment fund - Horizon Properties - in connection with acquisition of a portfolio of real estate assets in Moscow from the Finish property investment company Sponda Plc.
  • Advised group of companies specializing in investments in construction of industrial parks on sale of several hundred thousand square meters of warehousing property in Moscow Region to one of the main warehousing facility owner in Russia.
  • Advised Capital Group on acquisition of a site from the Moscow Government and a joint venture in connection with development of a multi-use complex located on Balchug island in the very centre of Moscow (also known as Golden Island) with approx. investments around 25-30 billion RUB.
  • Advised a joint venture partner of the Georgian Co-investment Fund on development and operation of a hydro power plant in Georgia, including bespoke structuring analysis based on advice on the laws of 5 jurisdictions (Russia, Georgia, Luxembourg, the Netherlands and the UK), as well as analysis of Georgian and European tax treaty policy developments, in order to anticipate possible treaty renegotiations that might affect the structure.
  • Advising the client on acquisition of a cable and wire production factory in Eastern Europe. The deal involved advice on M&A, corporate, real estate, tax, employment, regulatory, banking/finance, bankruptcy and other matters related to jurisdictions primarily outside Russia in several European countries.
  • Advised Capital Group on sale of office premises in downtown Moscow (Legend of Tsvetnoy) to O1 Properties.
