Yuliana Kan specialises in M&A projects, corporate law matters and corporate governance. Her experience includes development of corporate structures, corporate restructuring, including prior to transactions, development of constituent and various other corporate documents, participation in full legal due diligence projects, identification of risks involved in various corporate transactions and advising on other aspects of company business.

Track Record

  • Major Russian Internet company: in relation to sale of shares to a financial investor, development of a corporate structure in three jurisdictions and prior transaction restructuring, drafting of the requisite deal documentation and support for shareholder coordination during the post-transaction period.
  • Major Russian Internet company: in relation to a share issue in a Cyprus joint venture aiming to attract additional investments, drafting of the requisite deal documentation and coordination of the work of the foreign legal advisors.
  • Major European engineering and construction company: in relation to a full due diligence of the company preceding creation of a joint venture and participation in developing the corporate structure for the joint venture.
  • NALCO: in relation to a full due diligence of the company preceding acquisition thereof and advising on other aspects of the company’s business.
  • AMT&C Group: in relation to acquisition of shares in subsidiaries from minority shareholders, developing corporate documents and advising on daily aspects of corporate governance.
  • Major European metal packaging producer: in relation to a corporate restructuring, including acquisition of shares, incorporation and liquidation of several companies.
  • Sheremetyevo International Airport: advising on planning a sale of shares in a subsidiary in light of an existing option agreement with a third party in relation to the shares.
  • Guardian: advising on various corporate matters, including increasing the authorised capital of a subsidiary by contributing shares in another company, incorporation and liquidation of subsidiaries.
  • Mitsubishi Motors Corporation: on various corporate aspects, including ones associated with establishment of a Board of Directors in a Russian subsidiary.
  • Leading European company investing in real estate: advising on intra-group financing aspects to ensure a subsidiary complies with the legal requirements on its net asset value.
