Our lawyers have more than 20 years’ experience of advising and representing clients in the  retail / consumer sector. Alongside our transactional and trial support, we provide a full range of legal services to major players and investors in the market, including advice in relation to construction of retail and warehousing facilities, developing policies and documentation relating to distributors and dealers, providing support for marketing events, such as advertising campaigns and other methods for promoting retail chains and goods, advice on customs and exchange legislation on import and export goods, as well as services of tax lawyers at all mentioned stages.

Close collaboration between lawyers of different practices allows us to offer our clients comprehensive legal services and advice, taking into account all possible legal risks in retail sphere. X5 Retail Group

Advised the X5 Retail Group on labour legislation, including regarding introduction of an incentive scheme (forms of bonus payment and certain aspects of bonus payment criteria) for a specific category of employees.

Philips

Advised Philips on the legal structuring of online sales, compliance with consumer protection law and advertising in creating and operating its corporate online store.

eBay

Acted for eBay on national HQ office lease in Moscow.

X5 Retail Group, Auchan

Advised major food retailers on acquiring chains of stores in Russia. 

Metro Cash&Carry Ltd

On instructions from Metro Cash&Carry Ltd, analysing a sample product supply contract with respect to compliance by certain of its provisions with antimonopoly laws. In addition to recommendations on mitigating antimonopoly risks, we also proposed arguments for use in discussions with the antimonopoly authority to justify that certain contractual provisions are lawful and comply with the law.

OBI

Court representation of OBI in a dispute with the Customs over adjustment of the customs value of imported products (Christmas trees). We were able to prove that the Customs’ decision was unlawful. In its adjustment, the Customs had incorrectly compared the value of our client’s products with that of similar goods imported by others. Specifically, the comparison had used information on the value of the goods imported into Russia much earlier than the client’s products. Furthermore, the Customs had ignored the considerable differences between the volumes of supplies of the client’s products and those of the reference goods imported by others.

Dogus Avenue

Advised Dogus Avenue an exclusive franchisee of global home furnishings brand Crate & Barrel in launching its retail business in Russia.

Mars, NIKE, Caterpillar, Debenhams Retails and others

We drafted or analysed draft distribution agreements, provisions on incentive systems and payment of rebates, paperwork systems, etc. for Mars, Dunlop Tire CIS, NIKE, Caterpillar, Debenhams Retails PLC, New Look, ESCO Rus and other leading FMCG manufacturers.

Globus

Advised Globus, a German hypermarket chain, on its expansion on the Russian market, specifically on acquiring a land plot and properties in north-east Moscow for a new hypermarket.

Independence Group

Acted for one of the main BMW distributors in Russia – Independence Group – in a case over TM infringement when selling cars. The client faced a gigantic claim for USD 2 trillion in damages. This was the first case in Russia when such an immense amount was claimed in compensation. We managed to reduce drastically the ultimate compensation to a sum of only USD 6,000.

Re:Store

Represented Re:Store in a high-profile case brought by the FAS of Russia against Apple over alleged maintenance of distributor prices.
