New consequence of failure to comply with the corporate name law.

Legal update No. 149.

Goltsblat BLP advises that Federal Law of 19 May 2010 No. 88-FZ “On amendments to certain legislative acts of the Russian Federation to increase control over use of national symbols, illegal  use of uniform” came into effect on 1 June 2010.

According to the addendum introduced into clause 1, article 23 of Federal Law of 8 August 2001 No. 129-FZ “On state registration of legal entities and individual entrepreneurs”, a legal entity may be refused  state registration if its name does not comply with the requirements of the federal law.

So, before enactment of the above Federal Law, registration authorities could only file a claim to compel the legal entity to change its corporate name if it did not comply with the established requirements (clause 5, article 1473 of the Civil Code of the Russian Federation), they may now also refuse state registration on the above grounds.
